Performance-related pay

Statement on Medivir’s performance-related pay to senior managers and on each outstanding share and share price-related incentive schemes in accordance with the Swedish Code of Corporate Governance (the “Code”) 10.3.

In accordance with section 10.3 of the Code, Medivir is presenting a statement on its performance-related pay to senior managers and each share and share price-related incentive scheme. This remuneration is consistent with the guidelines governing salary and other benefits to the Chief Executive Officer and other senior managers adopted by the Annual General Meeting (AGM). For information on actual outcomes for the previous year, please refer to the Annual Report.

Medivir has nine senior managers, who are presented in more detail under the “Company/Management team” heading.

Performance-related pay to senior managers of Medivir consists of performance-related payments in cash and long-term share-related incentive schemes, which all staff qualify for.

Performance-related remuneration in cash

Performance related pay—which is currently awarded in the form of a discretionarily decided individual bonus where applicable—may be a maximum of 50% of annual basic compensation.

Long-term share-related incentive schemes

Medivir has introduced share-based incentive schemes intended to promote the company’s long-term interests by motivating and rewarding the company’s senior managers and other staff.
